Please read these Terms of Service (“Terms”) carefully before using the WinnSEO Shopify App (the “App” or “Service”) operated by WinnSEO. These Terms govern your access to and use of the App. By installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, you must refrain from using the App.

The following terminology applies to these Terms, our Privacy Policy, and any related agreements:

• “You” and “Your” refer to the user accessing the App and accepting WinnSEO’s Terms.
• “We,” “Us,” “Our,” and “WinnSEO” refer to WinnSEO, the operator of the App.

1. Agreement to Terms

By accessing or using the WinnSEO App, you confirm that you have the legal authority to enter into these Terms, either as an individual or on behalf of a company or organization. If you are using the App on behalf of a business or entity, you represent and warrant that you are authorized to bind that entity to these Terms. Your continued use of the App signifies your acceptance of these Terms and any updates or modifications made to them.

2. Modifications to the App or Terms

We reserve the right to modify, suspend, or discontinue any part of the App at any time, with or without prior notice. This may include adding, removing, or altering features or functionalities. We will notify you of significant changes to these Terms through the App, by email, or via other reasonable means. Your continued use of the App following such changes constitutes your acceptance of the revised Terms.

3. Your Responsibilities

When using the App, you agree to:

• Use the App solely for lawful and authorized purposes in accordance with these Terms;
• Comply with all applicable local, national, and international laws, regulations, and industry standards;
• Refrain from uploading or distributing any malicious code, viruses, or harmful software;
• Avoid attempting to gain unauthorized access to any systems, networks, data, or user accounts;
• Not submit or distribute false, misleading, or harmful content;
• Maintain the security and confidentiality of your Shopify account credentials.

You are solely responsible for all activities conducted through your Shopify account in connection with the App and for ensuring compliance with these Terms.

4. Subscriptions and Billing

WinnSEO offers free and paid subscription tiers, with all billing managed through Shopify’s billing system. By subscribing to a paid plan, you agree to pay all applicable fees and taxes as outlined during the subscription process. You must provide current, complete, and accurate purchase and account information for all subscriptions and promptly update your account details, including email address, payment methods, and billing information, to ensure smooth transaction processing and communication.

We reserve the right to adjust pricing or modify service tiers at our discretion, with  or without advance notice provided through the App or by email. Any changes will take effect in your next billing cycle. Additionally, we reserve the right to refuse, limit, or cancel any subscription order at our sole discretion. This may include restrictions on orders placed by or under the same customer account, payment method, or billing address.

5. Refund Policy

All purchases of AI Credits subscriptions through WinnSEO are non-refundable, including both the first-time subscription and any renewal payments. Once a transaction has been processed through Shopify’s billing system, it cannot be reversed, refunded, or prorated—regardless of whether the AI Credits have been used in full, in part, or not at all.

Before subscribing, please review the plan details, pricing, and available features to ensure they meet your needs. By completing your purchase, you acknowledge and agree that refunds will not be issued under any circumstances, including cases of unused credits or early cancellation.

In the event of a verified technical issue caused by WinnSEO that prevents you from accessing or using purchased AI Credits, our team may, at its sole discretion, provide appropriate remedies such as service credits or account adjustments. Such remedies are exceptional and do not constitute an ongoing right to refunds or compensation.

6. Service Descriptions and Limitations

We strive to provide accurate descriptions of our services. However, we do not guarantee that the App’s features, functionality, or performance will meet your expectations or be free from errors. We reserve the right to limit access to certain services or discontinue them entirely at our discretion, with or without prior notice.

7. Third-Party Tools and Links

The App may provide access to third-party tools or include links to external websites or services for your convenience, which we neither monitor nor control. These tools and links are offered “as is” and “as available,” without warranties of any kind. We do not endorse, control, or assume responsibility for the content, practices, or services of these third parties. Your use of third-party tools or access to external links is at your own risk, and you are responsible for complying with the terms and conditions of the respective third-party providers. We encourage you to review their terms and policies before engaging with them.

8. Feedback and Submissions

Any comments, feedback, suggestions, or materials you submit—whether online, by email, or otherwise—are considered non-confidential. You grant WinnSEO an unrestricted, royalty-free, worldwide license to use, modify, publish, or distribute such submissions for any purpose without compensation or obligation to you.

9. Data Privacy

Your submission of personal or store-related data through the App is governed by our Privacy Policy. By using the App, you consent to the collection, use, and processing of your data as described in the Privacy Policy.

10. Corrections to Errors

From time to time, the App may contain typographical errors, inaccuracies, or omissions related to services, pricing, or availability. We reserve the right to correct such errors, update information, or cancel orders affected by errors without prior notice, even if a transaction has been initiated.

11. Eligibility and Acceptable Use

By using the WinnSEO App, you confirm that you are at least the age of majority in your jurisdiction or, if allowing a minor dependent to use the App under your supervision, you accept full responsibility for their actions. You agree to use the App only for lawful, ethical, and authorized purposes and to comply with all applicable laws, including those related to consumer protection, advertising, privacy, and intellectual property.

The App may not be used for content, products, or stores associated with:

• The promotion or sale of illegal drugs;
• Unregulated or illegal gambling services;
• Alcohol-related content promoting underage or irresponsible consumption;
• Pornographic or sexually explicit material.

Additionally, WinnSEO prohibits the use of the App for any content or behavior that is abusive, harassing, threatening, defamatory, or discriminatory based on attributes such as race, gender, religion, sexual orientation, disability, or nationality. The use of bots, scrapers, or automated tools that could compromise the App’s performance or integrity ıs strictly forbidden.

You are solely responsible for ensuring that your Shopify store and its content comply with all applicable laws and regulations. WinnSEO reserves the right to investigate suspected violations of these Terms and may suspend or terminate access, pursue legal remedies, or report violations to relevant authorities at our sole discretion.

12. Warranties and Liability

The App is provided “as is” and “as available,” without warranties of any kind, express or implied. We do not guarantee that the App will be uninterrupted, secure, or free from errors or vulnerabilities. To the fullest extent permitted by law, WinnSEO, its affiliates, and partners will not be liable for any direct, indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities arising from your use of the App.

13. Indemnity

You agree to indemnify, defend, and hold harmless WinnSEO, its parent company, affiliates, directors, officers, employees, partners, agents, licensors, contractors, suppliers, and service providers from any claim, demand, loss, or damage, including reasonable legal fees, arising from:

• Your violation of these Terms;
• Your misuse of the App;
• Your breach of any applicable law or third-party rights.

14. Severability of Provisions

If any provision of these Terms is deemed unlawful, void, or unenforceable, that provision will be severed, and the remaining provisions will continue in full force and effect.

15. Termination of Access

These Terms remain in effect until terminated by you or us. You may terminate your use of the App by uninstalling it from your Shopify store. We may suspend or terminate your access at our discretion, with or without notice, if we believe you have violated these Terms. Upon termination, all rights granted to you under these Terms will cease immediately, and you will remain responsible for any outstanding payments or obligations.

16. Complete Agreement

These Terms, together with our Privacy Policy and any other legal notices published by WinnSEO, constitute the entire agreement between you and WinnSEO regarding the use of the App. These Terms supersede any prior agreements, communications, or understandings, whether oral or written.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the courts of London, England.

18. Updates to Terms

We may update these Terms periodically to reflect changes in our practices or legal requirements. Updates will be posted on our website or communicated through the Shopify App Dashboard. It is your responsibility to review these Terms regularly. Your continued use of the App after changes are posted constitutes your acceptance of the updated Terms.
